新加坡公司的知識點(diǎn)充斥著(zhù)各種媒體，然而很多信息都過(guò)時(shí)了，有的信息明顯有誤，百利來(lái)希望為大家更新與鞏固新加坡公司的正確知識點(diǎn)。

 

基礎篇

1.與香港公司不同，新加坡公司沒(méi)有中文名，只有英文名，私人有限公司名稱(chēng)結尾必須是PTE.LTD，所有英文都必須是大寫(xiě)，不能大小寫(xiě)混合，不能小寫(xiě)。

 

2.與香港公司不同，加上類(lèi)似Singapore、Group、International這些修飾字號的字眼被視作與純字號重名，也就是說(shuō)不能在已經(jīng)在冊的新加坡公司字號后面加上諸如International Group等作為新公司的名稱(chēng)。

3.與香港公司類(lèi)似，有些公司名稱(chēng)需要特別審批或者前置許可，比普通名字審核需要多14到60天。在下文會(huì )詳細列出。

 

4.與香港公司不同，新加坡公司可以通過(guò)付費預留名稱(chēng)，最長(cháng)可以保留120天。

 

5.與香港公司類(lèi)似，除了與在冊的和預留的公司名重名外，如果公司名稱(chēng)有不良影響，或者與財政部注冊的淡馬錫（Temasek）名稱(chēng)相似，或者與知名商標相似的，或者讓消費者產(chǎn)生來(lái)源誤導的名稱(chēng)，都不會(huì )被準予注冊。

 

進(jìn)階篇

 

1.擬用公司名稱(chēng)含有“architect”或者相關(guān)詞語(yǔ)，除非提交人是注冊建筑師。

 

經(jīng)營(yíng)范圍與編碼：

71111 (Architectural services)

 

轉介到Board of Architects (BOA) Singapore審批

 

2.擬用名稱(chēng)含有 “RealEstate Agent” 或 "Real Estate Agency"并且從事房產(chǎn)中介業(yè)務(wù)的。 

 

經(jīng)營(yíng)范圍與編碼：

68201 (Real estate agencies and valuation services) 

68209 (Real estate activities on a fee or contract basis nec.)

 

轉介到Council for Estate Agencies (CEA)

 

3.經(jīng)營(yíng)范圍涉及 “spotcommodity trading” 與/或“rubber” 可能需要Commodity Trading Act (Cap. 48A) (“CTA”)與/或Rubber Industry Act (Cap. 280) (“RIA”)牌照。

 

經(jīng)營(yíng)范圍與編碼: 

66124 (Commodity (excluding gold) and futures brokers and dealers)

 

轉介到Enterprise Singapore

 

4.擬用慈善團體名稱(chēng)含有“Foundation”, “International”或“Singapore”。

 

轉介到Ministry of Culture, Community and Youth(MCCY) –  Charities Unit  

 

5. 擬用公司名稱(chēng)含有"Military" 或 "Defence"。

 

轉介到Ministry of Defence (MINDEF) – DefenceIndustry & Systems Office(DISO)

 

6.擬注冊為"school" / "learning centre" / "education centre"/ "training centre", 除了提供"non-academic" 非學(xué)術(shù)性質(zhì)的 (如美容護理，理發(fā)，廚藝、體育、游戲、駕駛、娛樂(lè )相關(guān)的業(yè)務(wù)。

 

 轉介到Ministryof Education (MOE) – Private Schools Section

 

名字含有 "Academy","College", "Institute", “Institution","University"; and "National", "Singapore"一般不會(huì )獲批。

 

經(jīng)營(yíng)范圍與編碼:

85211 (Secondary schools) 

85212 (Junior colleges and centralised pre-university institutes) 

85213 (International and foreign system schools - secondary) 

85214 (Schools for the handicapped and educationally sub-normal -secondary) 

85220 (Technical and vocational secondary and post-secondarynon-tertiary education)

85301 (Polytechnics) 

85302 (Universities) 

85303 (Teachers' training institutes) 

85304 (Commercial schools offering higher education programmes) 

85494 (Academic tutoring services. e.g. tuition centres, privatetutoring services)

 

7.擬用公司名稱(chēng)含有"Association of Southeast Asian Nations" 或"ASEAN". 

 

轉介到Ministry of Foreign Affairs (MFA) – ASEANNational Secretariat, Singapore

 

8.擬用公司名稱(chēng)含有法律相關(guān)的名稱(chēng)，如“Law”,“Legal”, “Counsel”, “Chamber”, “Advocate”, “Solicitor”, “Law Corporation”, 或“LLC”。

 

經(jīng)營(yíng)范圍與編碼:

69100 (Legal Activities)

 

轉介到Ministry of Law (MinLaw) – LegalServices Regulatory Authority (LSRA)

 

9.擬用公司名稱(chēng)含有

"Bank"或者近似的詞語(yǔ) (如"banking", "banque","banco", "Bancaire”, “Banca” and “Banche”)

"Finance Company" 和 "Finance"

"Futures Exchange","Clearing House" 和 "SecuritiesExchange" 或者類(lèi)似的，受到the Banking Act (Cap 19), theFinance Companies Act (Cap 108)和the Monetary Authorityof Singapore Act (Cap 186).監管。

64120 (Full banks)

64130 (Wholesale Banks)

64120 (Offshore Banks)

轉介到Monetary Authority of Singapore (MAS)

 

10.擬用公司名稱(chēng)含有 “Professional Engineering”, “Professional Engineers” 和“PE”.

 

轉介到Professional Engineers Board (PEB)

 

11.擬用公司從事旅游相關(guān)的業(yè)務(wù)

 

轉介到Singapore Tourism Board (STB)

 

12.以下三類(lèi)公司可能在注冊前需要先得到前置審批牌照

 

12.1擬用公司名稱(chēng)含有"Accountancy", "Accounting", "Audit",或相關(guān)詞語(yǔ)

 

需要獲得Institute of Singapore CharteredAccountants (ISCA)批準。

  

12.2擬用公司名稱(chēng)或者經(jīng)營(yíng)范圍含有 “hospital”, “medicalclinic/centre”, “dental clinic/centre”, “surgery”, “medical/clinicallaboratory”, “healthcare establishment” 或相關(guān)術(shù)語(yǔ)

需要獲得Ministry of Health (MOH) 批準。

 

12.3擬用公司名稱(chēng)或者經(jīng)營(yíng)范圍含有"Co-op" or"Co-operative". 需要獲得Registry of Co-operativeSocieties批準。
